VibeSheet – Google Sheets Apps Script Code Terms of Use Agreement

This Terms of Use Agreement (the "Agreement") is entered into by and between the provider of the Google Sheets Apps Script code (the "Provider"), and you (the "User"). By using, copying, or modifying the Google Sheets Apps Script code (the "Code") made available by VibeSheet, you agree to be bound by the terms and conditions of this Agreement. If you do not agree, do not use the Code or associated Google Sheets.

Clarification of Definitions

  • Provider: Refers to the entity or individual offering the VibeSheet Google Sheets Apps Script code.

  • User: Any person or entity that accesses or uses the Code.

  • Code: The Google Sheets Apps Script code, documentation, and related materials provided by VibeSheet.

  • Third-Party Services: All external services or APIs (e.g., OpenAI, Google, Stable Diffusion) used by or connected to the Code.

1. Grant of License

The Provider grants the User a non-exclusive, non-transferable, revocable license to use and modify the Code for personal or internal business use only. Under this license, you may not:

  • Distribute or share the Code outside your organization;

  • Sell, rent, lease, or sublicense the Code;

  • Use the Code for commercial SaaS or derivative platforms;

  • Remove any copyright or proprietary notices.

2. Intellectual Property Rights

The Code, its structure, and any accompanying materials remain the sole property of VibeSheet. No rights are transferred beyond those expressly stated.

3. Termination

This license is effective until terminated. VibeSheet may revoke this license at any time. Violation of any terms automatically ends this Agreement.

4. No Warranty

The Code is provided "as is", without warranties of any kind—express or implied—including merchantability, fitness for a particular purpose, or non-infringement.

5. Limitation of Liability

VibeSheet shall not be liable for any damages arising from your use of the Code, including but not limited to direct, indirect, incidental, or consequential damages.

6. Indemnification

User agrees to indemnify and hold harmless VibeSheet and its representatives from claims, losses, or liabilities related to your use or misuse of the Code.

7. Governing Law

This Agreement is governed by the laws of the State of Oregon, USA. Disputes shall be resolved in courts located in Portland, Oregon.

8. Entire Agreement

This Agreement constitutes the full agreement between User and Provider regarding the Code. All prior understandings are superseded.

9. Modification

VibeSheet reserves the right to update these terms. Continued use of the Code after such updates constitutes acceptance of the changes.

10. Severability

If any provision is found invalid, the remainder of the Agreement will continue in effect.

11. Waiver

Failure to enforce any provision shall not constitute a waiver of future enforcement.

12. Assignment

Users may not assign rights under this Agreement. VibeSheet may assign its rights without restriction.

13. Force Majeure

VibeSheet is not liable for failure or delay due to causes beyond its control.

14. Use of Third-Party APIs and Services

The Code may rely on third-party APIs (e.g., OpenAI, Google). VibeSheet is not responsible for their availability or content.

15. Disclaimer for Generated Data

VibeSheet makes no guarantees regarding the accuracy, legality, or usefulness of AI-generated or third-party data. Use it at your own risk.

16. User Responsibilities

User is responsible for reviewing and verifying all data generated or processed by the Code and for maintaining appropriate backups.

17. Compliance & Fact-Checking

User must ensure content and data comply with applicable laws, platform policies (e.g., Google AI policies), and is fact-checked before use or publication.

18. Assumption of Risk

By using the Code and its outputs, you accept all associated risks, including reliance on AI-generated outputs.

19. Restricted Use

The Code is restricted to Google Sheets only. Reuse in other software environments, reverse engineering, or repackaging is strictly prohibited.

20. Email Tracking & Fair Use Policy

a. Purpose: We track emails to monitor fair usage and prevent abuse or unauthorized sharing.
b. Scope: Unlimited internal use is permitted. External or multi-company use is not.
c. Consent: By using the Code, you consent to email tracking for monitoring.
d. Transparency: Data collected is used only to protect service integrity and follows our Privacy Policy.
e. Updates: We reserve the right to revise tracking policies as needed.

21. Survival

Sections such as Intellectual Property, Indemnification, Limitation of Liability, and Governing Law shall survive termination of this Agreement.

Acknowledgment

By using VibeSheet’s Code, you acknowledge and agree to these Terms of Use. If you disagree with any terms, do not use the Code or associated services.
